Agreement to Terms

These Terms of Service ("Terms") govern your use of the Kontrable website and platform (the "Platform") and all services provided by Kontrable, including contractor management, payment tracking, and related features (collectively, the "Services").

Kontrable is operated by Tarkle, Inc. ("Kontrable," "we," "us," or "our"). We are registered at 1309 Coffeen Avenue, Suite 15023, Sheridan, Wyoming 82801, United States.

By accessing or using the Platform or Services, you agree to these Terms. If you do not agree, you must not use the Platform or Services.

Eligibility

You must be at least 18 years old to use the Site or the Services. By using our Services, you represent and warrant that you meet this age requirement.

Account Registration and Security

To use the Services, you must register for an account by completing the registration form on the Site. Registration is subject to our approval, and we reserve the right to decline any application without providing a reason.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately if you become aware of any unauthorized access to your account.

We reserve the right to disable your account at any time if we determine it necessary for security reasons, if you fail to comply with these Terms, or if any information you provided during registration is false or inaccurate.

Acceptable Use

You are responsible for your use of the Services and any data you input. When using our Platform, you agree not to:

Violate any applicable laws or regulations
Infringe on others' intellectual property, privacy, or other legal rights
Use the Platform for fraudulent, illegal, or harmful purposes
Misrepresent contractor relationships or payment information
Impersonate others or provide false information
Interfere with or disrupt the Platform or its security
Attempt to gain unauthorized access to any part of the Services
Use automated systems to access the Platform without our permission
Resell or redistribute your account or the Services
Use the Services to compete with Kontrable

We reserve the right to investigate and take appropriate action against anyone who violates these Terms, including suspending or terminating accounts and cooperating with law enforcement.

Prohibited Uses and Legal Compliance

Kontrable is designed exclusively for legitimate business use in managing independent contractor relationships. The following uses are strictly prohibited:

Using the Platform to facilitate illegal employment practices or worker misclassification
Tax evasion, money laundering, or any other financial crimes
Managing relationships with contractors you are not legally authorized to hire
Personal or non-business contractor management
Violating labor laws, minimum wage requirements, or worker protection regulations
Operating without required business licenses or permits
Evading employment taxes or withholding requirements
Creating fake contractor profiles or fictitious business relationships

You acknowledge that you are solely responsible for ensuring your contractor relationships comply with all applicable laws including, but not limited to, tax laws, labor laws, immigration laws, and anti-money laundering regulations. We may request proof of business registration, licensing, or legal authorization at any time.

We reserve the right to immediately suspend or terminate accounts that we suspect, in our sole discretion, are being used for illegal purposes or in violation of these terms. We will cooperate fully with law enforcement investigations.

Your Data

You retain full ownership of all data, contractor information, and content you input into the Platform ("Your Data"). We do not claim any ownership rights to Your Data.

By using the Services, you grant us a limited license to store, process, and display Your Data solely for the purpose of providing the Services to you, including generating reports, tracking payments, and managing contractor relationships.

You represent and warrant that:

You have the necessary rights to input and use Your Data
Your Data does not violate any third-party rights or laws
Your Data is accurate and not misleading
You have obtained necessary consents from contractors whose data you input

You are responsible for the accuracy of Your Data. While we implement backup systems, we recommend maintaining your own records.

Intellectual Property

The Platform and Services, including all software, text, graphics, logos, and other content (excluding Your Data), are owned by Kontrable and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of our Platform or Services without our express written permission.

Payment and Subscriptions

Kontrable is a paid subscription service. We offer a 21-day free trial for new users to evaluate the Platform. After the trial period, subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.

By subscribing, you authorize us to charge your payment method automatically for each billing cycle. All fees are exclusive of taxes, and you are responsible for paying any applicable sales tax, VAT, or other applicable taxes.

Important: Kontrable is a management platform only. We do not process, hold, or transfer contractor payments. All contractor payments are made directly by you through your own payment methods (bank transfer, Wise, PayPal, etc.). We only help you organize, track, and manage payment records.

You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period. We offer a 14-day money-back guarantee from the date of your first payment (not from trial start). To request a refund, visit our contact page.

We reserve the right to change our pricing with 30 days notice. Price changes will take effect at the start of your next billing cycle after the notice period.

Terms for Businesses

If you are a business or organization using Kontrable, you represent and warrant that:

You have the legal authority to hire, engage, and pay independent contractors
You comply with all applicable labor laws, tax regulations, and contractor classification rules in your jurisdiction
You have obtained all necessary business licenses and permits to operate
Your use of contractors is for legitimate business purposes only
You will not use the Platform to facilitate illegal employment practices or tax evasion
You are solely responsible for contractor classification (employee vs independent contractor)
You will maintain proper documentation for all contractor relationships
You will issue required tax forms (1099s, etc.) as required by law

Kontrable is a management tool only. We do not provide legal, tax, or employment advice. You are solely responsible for ensuring your contractor relationships comply with all applicable laws.

Terms for Contractors

If you are a contractor who has been invited to access Kontrable by a business, the following terms apply:

Your account is created and managed by the business that invited you
You can view your contracts, invoices, and payment history as shared by the business
You cannot create or manage business accounts through a contractor account
The business controls what information you can access
Payment disputes must be resolved directly with the business, not with Kontrable
You are responsible for your own tax obligations and reporting
Your access may be revoked at any time by the business

Kontrable does not employ contractors, process payments, or act as an intermediary in contractor-business relationships. We provide the Platform as a service to businesses to help them manage their contractor relationships.

Service Availability

We strive to maintain 99.9% uptime for our Services, but we cannot guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice for significant changes that affect paid subscribers.

Copyright and Intellectual Property

We respect intellectual property rights. If you believe that content on our Services infringes your copyright, please visit our contact page with the following information:

Identification of the copyrighted work claimed to have been infringed
Identification of the infringing material and its location
Your contact information (address, telephone number, email)
A statement of good faith belief that the use is not authorized
A statement that the information is accurate and you are authorized to act
Your physical or electronic signature

We may terminate accounts of repeat infringers in accordance with the Digital Millennium Copyright Act (DMCA).

Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the Services, you agree to our Privacy Policy.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that defects will be corrected. You use the Services at your own risk.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KONTRABLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR SERVICES.

Kontrable is not responsible for contractor payments, payment disputes, contractor performance, tax compliance, or employment classification decisions. You are solely responsible for managing contractor relationships, making payments, and ensuring legal compliance.

Our total liability to you for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify and hold harmless Kontrable and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Services, Your Data, contractor relationships, payment decisions, or your violation of these Terms.

Termination

We may terminate or suspend your access to the Services at any time, with or without cause or notice, if we believe you have violated these Terms or for any other reason.

You may terminate your account at any time by visiting our contact page or through your account settings. Upon termination, your right to use the Services will immediately cease.

Free accounts that remain inactive for 12 months or have not verified their email address may be permanently deleted along with their content.

Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in Wyoming.

For users located in the European Union, the laws of your country of residence may also apply, and you may have the right to bring disputes in your local courts.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
